Terms and Conditions

2.1 Accuracy of Information

You are obligated to provide accurate, current, and complete information when submitting inquiries, requests, or engaging with our services. Providing false or misleading information may result in service denial or termination of agreements.

2.2 Legal Compliance

You agree to comply with all applicable laws, regulations, and industry standards, including:

• • Import and export regulations in your jurisdiction for tea products
• • Food safety and labeling requirements
• • Customs and trade compliance obligations
• • Payment and tax obligations in your country
• • Intellectual property and trademark laws

2.3 Professional Conduct

When engaging with our services, you agree to maintain professional and respectful conduct in all communications with our team, partner producers, and other stakeholders. Harassment, abuse, or threatening behavior will result in immediate service termination.

2.4 Prohibited Uses

You are specifically prohibited from:

• • Using our services for any illegal activities or fraudulent purposes
• • Attempting to circumvent our producer relationships for direct dealings without authorization
• • Copying, reproducing, or distributing our proprietary materials without permission
• • Making false claims about Vietnamese tea authenticity or origins
• • Engaging in activities that damage our reputation or business relationships

2.5 Age Restrictions

Our services are intended for individuals and businesses with legal capacity to enter into binding contracts. Users must be at least 18 years old or the age of majority in their jurisdiction. By using our services, you represent and warrant that you meet these age requirements.

3.1 Indemnification Obligations

You agree to indemnify, defend, and hold harmless Thái Nguyên Clarity, our partners, employees, contractors, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your breach of these terms, misuse of our services, violation of laws, or infringement of third-party rights.

3.2 Privacy and Data Protection Compliance

If you collect or process personal data in connection with our services (such as end-customer information for tea distribution), you are responsible for compliance with applicable data protection regulations. You must maintain appropriate privacy policies and obtain necessary consents.

3.3 Third-Party Interactions

While we facilitate connections with Vietnamese tea producers and other service providers, you are responsible for your direct interactions and agreements with these third parties. We do not assume liability for third-party conduct, product quality beyond our stated scope, or fulfillment of third-party obligations.

3.4 Quality Control and Testing

For export services, you are responsible for conducting any required quality testing, safety certifications, or regulatory compliance assessments needed in your target market. While we provide information about tea processing and origins, final product compliance is your responsibility.

4.1 Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• • Warranties of merchantability or fitness for a particular purpose
• • Guarantees of specific business outcomes or profits
• • Warranties regarding third-party producer performance
• • Guarantees of uninterrupted or error-free service

4.2 Limitation of Liability

To the maximum extent permitted by applicable law, Thái Nguyên Clarity shall not be liable for:

• • Indirect, incidental, special, consequential, or punitive damages
• • Loss of profits, revenue, data, or business opportunities
• • Damages resulting from tea quality issues beyond our documented scope of service
• • Losses arising from regulatory changes, shipping delays, or force majeure events

Our aggregate liability shall not exceed the total fees paid by you for the specific service giving rise to the claim.

4.3 Consequential Damages Exclusion

Under no circumstances shall we be liable for any business interruption, loss of use, loss of anticipated profits, or any consequential, indirect, or punitive damages, even if we have been advised of the possibility of such damages.

4.4 Force Majeure

We shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, pandemics, supply chain disruptions, or failures of third-party service providers.

5.1 Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without giving effect to any conflict of law provisions.

5.2 Jurisdiction

You irrevocably submit to the exclusive jurisdiction of the courts located in Hanoi, Vietnam, for the resolution of any disputes arising from or relating to these Terms and Conditions or your use of our services.

5.3 Dispute Resolution Procedures

In the event of any dispute, claim, or controversy arising from these Terms and Conditions:

• 1. Parties shall first attempt to resolve the matter through good-faith negotiation
• 2. If negotiation fails within 30 days, parties may pursue mediation with a mutually agreed mediator
• 3. If mediation is unsuccessful, the dispute shall be resolved through litigation in Vietnamese courts

5.4 Class Action Waiver

To the extent permitted by law, all claims must be brought in an individual capacity and not as part of any class or representative action. You waive any right to participate in a class action or representative proceeding.

6.1 Severability Clause

If any provision of these Terms and Conditions is determined to be unlawful, void, or unenforceable by a court of competent jurisdiction, such provision shall be severed from these terms, and the remaining provisions shall continue in full force and effect.

6.2 Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and Thái Nguyên Clarity regarding your use of our services and supersede all prior or contemporaneous communications, whether electronic, oral, or written.

6.3 No Waiver

Our failure or delay in enforcing any provision of these Terms and Conditions shall not be construed as a waiver of any provision or right. Any waiver must be in writing and signed by an authorized representative of Thái Nguyên Clarity.
